Acceptance and contracting party
By accessing or using Simulaited, you agree to these Terms and any policies incorporated by reference, including our Privacy Notice and Refund Policy. If you use the service on behalf of a company, partnership, government body, or other entity, you represent that you are authorized to bind that entity and that “you” includes both the individual user and the organization.
Eligibility and account responsibility
You must provide accurate registration information, maintain the security of your credentials, keep contact details current, and promptly notify Simulaited of suspected unauthorized access. You are responsible for activity that occurs through your account or workspace except to the extent caused by Simulaited’s own breach of these Terms or applicable law.
Permitted use
You may use the service for lawful internal business, advisory, planning, research, testing, and workflow purposes consistent with your subscription, product documentation, and applicable law. Subject to plan limits, you may create studies, run simulations, review outputs, and download reports for legitimate organizational use.
Restrictions and prohibited conduct
- Do not misuse the service, interfere with platform operations, introduce malware, or attempt unauthorized access.
- Do not reverse engineer, decompile, scrape at scale, frame, mirror, or reproduce restricted portions of the service except where non-waivable law expressly permits it.
- Do not use the service to infringe intellectual property rights, violate privacy or publicity rights, or process content you do not have the right to use.
- Do not submit unlawful, defamatory, deceptive, discriminatory, abusive, sanctioned, or export-restricted content in violation of applicable law.
- Do not circumvent seat, plan, rate-limit, security, or billing controls.
Customer data and outputs
As between the parties and subject to applicable law, you retain rights in content you submit to the service. You grant Simulaited the limited rights necessary to host, process, transmit, display, secure, and back up that content in order to operate the service. Outputs, simulations, recommendations, summaries, and reports are decision-support materials only and are not guaranteed predictions, legal advice, investment advice, medical advice, or a substitute for professional judgment. You remain responsible for evaluating outputs and for all decisions, communications, marketing, pricing, compliance actions, and business outcomes that rely on them.
Subscriptions, renewals, and payments
Paid features depend on plan level, seat configuration, active subscription status, and successful payment processing. You authorize recurring charges if you enroll in a recurring subscription. Taxes, foreign exchange charges, and processor fees may apply depending on jurisdiction and payment method. Simulaited may suspend or limit paid features for failed payments, chargebacks, suspected fraud, abuse, or legal requirements.
Cancellation, consumer rights, and mandatory law
You may cancel future renewals through available account or billing workflows where offered. Cancellation stops future recurring charges but does not automatically generate a refund for prior periods unless required by law or approved under our Refund Policy. If a consumer-protection, subscription, privacy, or electronic-commerce rule in your jurisdiction grants non-waivable rights, those mandatory rights control to the extent of the conflict. This includes, where applicable, U.S. consumer-protection and auto-renewal requirements, European data-protection and digital-service rules, and African privacy or consumer statutes such as POPIA, the Nigeria Data Protection Act, or Kenya’s Data Protection Act where they apply to the service relationship.
Intellectual property
The service, software, interface design, trademarks, documentation, templates, workflows, and related materials remain the property of Simulaited or its licensors. Except for the limited rights expressly granted in these Terms, no license or right is transferred to you by implication, estoppel, or otherwise.
Beta features and roadmap items
Some features may be labeled beta, preview, pilot, or roadmap. Those features may change, be interrupted, or be withdrawn at any time and may be subject to additional use limitations.
Third-party services
Simulaited may integrate with or rely on third-party infrastructure, communications, authentication, analytics, or payment services. Your use of those third-party components may also be subject to the third party’s terms and privacy practices. Simulaited is not responsible for third-party services outside its reasonable control.
Suspension and termination
We may suspend or terminate access immediately if reasonably necessary to protect the service, investigate suspected misuse, respond to legal demands, prevent fraud, address security threats, or enforce these Terms. You may stop using the service at any time. Sections that by their nature should survive termination will survive, including sections on payments due, intellectual property, disclaimers, limitations, disputes, and compliance obligations.
Disclaimers
Except as expressly stated in a written agreement, the service is provided on an “as available” and “as provided” basis. To the maximum extent permitted by law, Simulaited disclaims implied warranties and conditions, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, or error-free operation.
Limitation of liability
To the maximum extent permitted by law, Simulaited and its affiliates, officers, employees, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, or business opportunity arising from or related to the service, even if advised of the possibility. To the extent permitted by law, the aggregate liability of Simulaited for claims arising out of or relating to the service will not exceed the amounts paid by you to Simulaited for the service giving rise to the claim during the twelve months preceding the event giving rise to liability.
Governing law and disputes
Unless a separate written agreement states otherwise, these Terms are governed by the laws specified in your controlling commercial agreement or, if none exists, by the laws of the jurisdiction in which the service operator is established, excluding conflict-of-law rules. Nothing in these Terms limits consumer rights or other mandatory rights that cannot be waived under applicable law.
Changes to the Terms
We may update these Terms from time to time. Material changes may be posted on the website, presented in-product, or otherwise communicated. By continuing to use the service after the effective date of updated Terms, you agree to the revised Terms, except where additional assent is required by law.
